License Agreement (EULA)

1. Licensor

KaraokeSubs is licensed by Saulius Satas, based in Lithuania.

2. License grant

Subject to a valid purchase and continued compliance with this EULA, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use KaraokeSubs for your own personal or business video editing work.

This is a license to use the product — not a transfer of ownership.

3. Ownership

KaraokeSubs, including its software, branding, design, text, graphics, presets, website content, downloads, and related materials, remains the intellectual property of Saulius Satas or its licensors.

Except for the limited license expressly granted in this EULA, no rights are transferred to you.

4. Permitted use

You may use KaraokeSubs in your own editing workflow, including commercial client work and published content created with the tool.

The output you create using KaraokeSubs is yours to use, subject to any third-party rights in your own source materials.

5. Restrictions

You may not, unless expressly permitted in writing:

• share, sell, sublicense, rent, lease, transfer, or redistribute the product or license key;
• make KaraokeSubs available to third parties as a shared or hosted service;
• copy the product except as reasonably necessary for installation and backup;
• reverse engineer, decompile, disassemble, or attempt to extract source code or protected implementation details, except where mandatory law expressly allows it;
• remove copyright, branding, licensing, or proprietary notices;
• bypass, disable, or interfere with licensing, activation, validation, or security systems;
• use the product in a way that violates law or infringes the rights of others.

6. License key and activation

KaraokeSubs may require a valid license key for activation and continued use of some or all features. We may use technical measures to validate licenses and prevent abuse.

We reserve the right to suspend, revoke, or deactivate a license if it was obtained fraudulently, shared improperly, used abusively, involved in a chargeback or refunded order, or otherwise used in violation of this EULA or the Terms of Service.

7. Refunds and effect on license

If a refund is issued for a purchase of KaraokeSubs, the related license may be suspended, revoked, or terminated. Continued use of the product after a refunded purchase is not permitted unless the license is reactivated through a valid purchase.

8. Updates

We may release updates, fixes, improvements, or changes to KaraokeSubs. Some updates may be provided automatically or made available manually. Nothing in this EULA guarantees future updates, feature parity, or lifetime support unless expressly stated otherwise.

9. Third-party platforms

KaraokeSubs may depend on third-party platforms or services, including Adobe Premiere Pro. We are not responsible for changes, incompatibilities, service outages, or policy decisions made by third-party providers.

10. Termination

This license remains effective until terminated. It may terminate automatically if you violate this EULA or related Terms of Service.

Upon termination, you must stop using KaraokeSubs and delete or stop using any unauthorized copies still in your possession or control.

11. Disclaimer of warranties

KaraokeSubs is provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, Saulius Satas will not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of KaraokeSubs. Total liability, if any, will not exceed the amount paid for the license at issue.

13. Governing law

This EULA is governed by the laws of Lithuania.
